1. Acceptance of terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Arena Labz, a brand operated by BAVA Collective LLC ("Arena Labz," "we," "us," or "our"), governing your access to and use of arenalabz.com (the "Site") and any purchase made through it. By accessing the Site, creating an account, or placing an order, you affirm that you have read, understood, and agree to be bound by these Terms, along with our Research Use Only Policy, Privacy Policy, Shipping Policy, and Returns & Refunds Policy, each of which is incorporated by reference. If you do not agree to any part of these Terms, you must not access or use the Site.
2. Eligibility and authorized use
The Site is intended solely for researchers, laboratories, universities, and commercial or institutional entities acquiring research materials for legitimate scientific research and development purposes. You must be at least 18 years of age and legally capable of entering into binding contracts to use the Site. By registering an account or placing an order, you represent that you are acquiring products on behalf of a party with the training, licensure (where applicable), and facilities necessary to handle research chemicals responsibly, and you agree to provide accurate, current, and complete account and order information at all times.
3. Research use only
All products offered on the Site are intended exclusively for in vitro laboratory research, analytical testing, and product development, to be handled by qualified personnel in an appropriate laboratory or equivalent controlled setting, in strict accordance with applicable laws, institutional biosafety guidelines, and accepted laboratory practice. No product listed on the Site is offered, labeled, or intended for clinical, diagnostic, therapeutic, cosmetic, or veterinary use of any kind, under any circumstance. Our full Research Use Only Policy governs this restriction and is incorporated into these Terms.
4. Not for human or animal consumption
Products sold through the Site are not for human or animal consumption, injection, ingestion, inhalation, topical application, or administration of any kind. You agree that you will not consume, administer, or apply any product to yourself, another person, or any animal, and that you will not resell, distribute, or represent any product as suitable, approved, or intended for such use, whether directly or through a third party.
5. Chemical supplier status
Arena Labz operates strictly as a chemical supplier to the research community. We are not a pharmacy, compounding pharmacy, compounding facility, outsourcing facility, or healthcare provider of any kind under applicable federal or state law, and we do not prepare, dispense, fill, or otherwise process prescriptions in any form. Nothing on the Site should be construed as an offer of pharmacy or medical services.
6. No medical advice or claims
Nothing published on the Site — including product descriptions, mechanism summaries, specifications, blog content, or correspondence with our team — constitutes medical, clinical, or professional advice, or a recommendation for any course of treatment, diagnosis, or prevention. Products and content on the Site are not intended to diagnose, treat, cure, mitigate, or prevent any disease or condition in humans or animals, and any resemblance to such claims elsewhere should be disregarded in favor of this Section.
7. Account registration and security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not authorized by you. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate any account that provides false information, misrepresents its intended use of products, or otherwise violates these Terms.
8. Purchaser responsibilities
By placing an order you represent and warrant that you are authorized to purchase research chemicals, that all products purchased will be used solely for legitimate laboratory research, and that you possess the training, facilities, protective equipment, and safety protocols necessary to handle, store, and dispose of them safely and lawfully. You are solely and exclusively responsible for determining and complying with all applicable federal, state, local, and institutional laws, regulations, and policies governing your acquisition, possession, handling, storage, use, and disposal of any product purchased through the Site, and you agree to indemnify Arena Labz against any claim arising from your failure to do so.
9. Product information & certificates of analysis
We publish the identity, purity, lot number, and testing date reported for material currently in stock, together with its certificate of analysis, sourced from independent testing laboratories. Certificate results describe the specific lot tested at the time of testing and do not constitute a warranty of performance, stability, or suitability for any particular research application. Product photography, specifications, and descriptions are representative and for reference; packaging, vial fill, and labeling may vary modestly between lots without notice.
10. Orders, pricing & payment
Placing an order constitutes an offer to purchase, which is not binding on Arena Labz until we confirm and process the order. We reserve the right to decline, cancel, or limit any order, at any time and for any reason, including where eligibility or research use cannot reasonably be verified, where fraud is suspected, or where a pricing, description, or availability error has occurred, in which case we will notify you and issue a full refund where payment has already been collected. Prices are stated in U.S. dollars, are subject to change without notice, and do not include applicable taxes or duties unless stated. Full payment is due at the time of checkout unless invoice or purchase order terms have been separately approved for a qualifying wholesale account.
11. Shipping, returns & availability
Shipping timelines, carriers, and cold-chain handling are governed by our Shipping Policy. Returns, cancellations, and refunds are governed by our Returns & Refunds Policy; return requests generally must be initiated within 14 days of delivery, and reconstituted, opened, or used material cannot be physically returned for resale. All listings are subject to availability and may be modified, limited, or withdrawn from the Site at any time without liability to you.
12. Wholesale & institutional accounts
Wholesale pricing tiers, invoice terms, and dedicated account support are extended at our sole discretion to qualifying laboratories and institutions that complete our wholesale application. Approval may be revoked and pricing adjusted at any time in response to a change in order volume, payment history, or verified research use.
13. Intellectual property
The Site and all of its contents — including without limitation text, graphics, photography, page layout, software, and the Arena Labz name, wordmark, and logo — are the property of Arena Labz or its licensors and are protected by applicable intellectual property laws. You may view, download, and print content solely for your own internal research recordkeeping, and may not reproduce, distribute, modify, or create derivative works from any part of the Site without our prior written consent.
14. Disclaimer of warranties
Except as expressly stated in these Terms or in our Returns & Refunds Policy, the Site and all products are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including without limitation implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that any product will meet your specific research requirements.
15. Limitation of liability & indemnification
To the fullest extent permitted by applicable law, Arena Labz and BAVA Collective LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data, arising from your use of the Site or any product, regardless of the theory of liability. Our total aggregate liability arising from any order will not exceed the amount you paid for the product giving rise to the claim. You agree to defend, indemnify, and hold harmless Arena Labz, BAVA Collective LLC, and their officers, employees, and affiliates from any claim, loss, or expense arising from your misuse of a product, your violation of these Terms, or your violation of any applicable law.
16. Governing law & dispute resolution
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of the Site will be resolved exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction of those courts.
17. Severability & entire agreement
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and Arena Labz regarding your use of the Site and supersede any prior agreements.
18. Changes to these terms
We may revise these Terms from time to time to reflect changes in our practices, offerings, or legal obligations. The revised version takes effect immediately upon posting to the Site, and your continued use of the Site after that date constitutes your acceptance of the revised Terms.
